Marek Wierzbowski who for many years was a partner of Weil, Gotshal & Manges and subsequently Linklaters, is the Firm’s founding lawyer. Prof. Wierzbowski has led teams of lawyers acting on a wide range of major transactions including the privatizations of Pekao S.A. and PKN Orlen S.A. and, more recently, the sale ofTauron SA and the sale of Agros S.A. to Pernod Ricard as well as a number of public securities offerings. He was responsible for most of the GDR and ADR issues of Polish company shares on foreign stock markets, including the London Stock Exchange. From the very early days of the operation of a capital market in Poland, Prof. Marek Wierzbowski has provided legal advice on investment funds and the opening of brokerage houses (the first license for a foreign-owned brokerage house in Poland and the first license for a brokerage house for asset management). He represents private parties before regulatory agencies and other governmental authorities (mostly in the area of energy, telecommunication, competition, banking and capital markets etc) as well as before the administrative courts and arbitration tribunals. In the arbitration case: Eureko v. Republic of Poland he was one of the lawyers acting on behalf of the Republic of Poland. Prof. Wierzbowski is a vice-chairman of the Supervisory Board of the Warsaw Stock Exchange (from 2000 to 2004 he was the Chairman of this board), a member of the Public Procurement Board and the President of the Arbitration Court of the Chamber of Brokerage Houses. Previously he was an adviser to the Minister of Privatization, adviser to the Minister of the Treasury and to the President of the Energy Regulatory Office. He was also vice-president of the Arbitration Court of the Polish Chamber of Commerce. Neither Prof Wierzbowski, nor lawyers directly subordinated to him handle public procurement matters.

Marcin Marczuk partner, legal counsellor, is a former officer of the Securities and Exchange Commission and heads the M&A and public offerings group within the Firm. He and his team have handled a number of mergers and acquisitions and have drafted the complete documentation for securities offerings that are found on our website. He has also acted on behalf of issuers, major shareholders and brokerage houses in proceedings before the Securities & Exchange Commission and the Polish Financial Supervision Authority. Several companies have implemented option plans for management and employees which have been prepared by Marcin Marczuk. He also has considerable experience in the insurance sector.

Sławomir Jakszuk, partner and well known capital markets lawyer. Before he joined the Firm, he spent more than ten years heading, as a Vice-Director, the Legal Department of the Warsaw Stock Exchange. He took part in a number of Polish Parliament committees as well as bodies established by the administrative authorities, drafting new pieces of legislation for capital markets and the implementation of EU directives in Poland. Sławomir Jakszuk holds a diploma granted upon his completion of a special training program by the U.S. Securities and Exchange Commission International Institute for Securities Market Development in Washington D.C.. Within the Firm he has headed teams of lawyers involved in such transactions as tender offers, the establishment of brokerage houses, investment fundsand companies managing investment funds, acquisitions of portfolios of shares in listed companies, proceedings before the SEC and the listing and de-listing of companies. He’s acted as a counsel in such transactions as the sale of shares of KGHM by the Ministry of State Treasury, the privatization of Tauron SA and the sale of DINO (a chain of supermarkets in the western part of Poland) to Enterprise Investors.

Anna Krysiak, partner and barrister who heads the litigation group within the Firm. She is experienced both in court cases, as well as arbitration matters. She specializes in commercial and civil law matters, including unfair competition. Her experience also encompasses matters before the Court for the Protection of Competition and Consumers. Besides Ms. Krysiak's experience as a litigator she has considerable experience in bankruptcy cases and in real estate.

Sebastian Rudnicki, is a graduate of the Warsaw University School of Law (where he graduated at the top of the class) and the British Centre for English and European Legal Studies at the University of Cambridge. He is an excellent civil law lawyer. He has been involved in most of the public securities offerings handled by the Firm, as well as in the majority of merger and acquisition transactions. Due to his experience he often leads teams of lawyers assigned to a particular transaction.

Dr Aleksandra Paczkowska-Tomaszewska is a senior associate. For many years she was a Deputy Director of the Department of State Aid Monitoring in the Office of Competition and Consumer Protection in charge of, among other things, the assessment of restructuring and sectoral aid and proceedings before the European Commission and the Court of Justice of the European Union. She also was involved in drafting the Polish State aid legislation and the Law on the transparency of financial relations between Member States and public undertakings. She was a Member of the Supervisory Boards of the companies managing the Special Economic Zones in Poland. In recent years, she was seconded to the European Commission - the Directorate General for Competition, where she was primarily responsible for the enforcement of the EC State aid rules in the financial sector including in the context of the financial crisis as well as the handling of competition complaints. Her areas of expertise cover the Polish and EU State aid law, proceedings before the European Commission and other Institutions, competition law and energy law. She is the author of several publications in these areas. In the State aid field she is recognized as one of leading specialists in Poland.

Kamilla Pomorska, legal counsellor, recognised expert in Polish and EU competition law, consumer protection law and telecommunication law. She gained her experience while working as high position official in the Department of Competition Protection and Department of Consumer Policy in the Office of Competition and Consumer Protection, the Department of Consumer Policy, where she handled, inter-alia, cases in the antimonopoly field (e.g agreements restricting competition, abuse of dominant position) and in the consumer protection field (e.g. practices infringing collective consumer interests, unfair commercial practices, abusive clauses and misleading advertising). She is also very active in the telecommunication law including all regulatory aspects of the telecommunication market, protection of end-users’ rights and co-operation between operators. Ms Pomorska has particular expertise in the antimonopoly proceedings including both the administrative and judicial proceedings. She also is the co-author of the leading commentary to the Law on the Competition and Consumers Protection, edited by C. Banasiński and E. Piontek (Lexis Nexis 2010).

Łukasz Adamczyk, a licensed tax counselor, heads the tax practice within the Firm. He specialises in all tax problems of major transactions (mostly M&A transactions) as well as tax optimization of aninvestment in Poland – usually with the utilization of off-shore companies located in other member states of EU; mainly Cyprus and Luxemburg.

Dr Rafał Stankiewicz, senior associate, legal adviser and well-known lawyer in the field of competition law. He is also specializes in energy law, telecommunication law, pharmaceutical law and administrative procedure. Before he joined the Firm Dr. Rafał Stankiewicz was an active legal advisor for six years. He advised many entrepreneurs on anti-monopoly and regulatory proceedings. He has extensive experience in representing customers before administrative courts as well as the Court for the Protection of Competition and Consumers and also participated in proceedings before the Polish Constitutional Tribunal. He was one of the experts who worked on the new law on the protection of competition and consumers of 16th February 2007. At the request Office of The Competition and Consumer Protection Department he drew up a project on the regulation of the Council of Ministers concerning the blocking of exemptions to agreements in the insurance sector. Dr. Rafał Stankiewicz is an assistant professor on the Faculty of Law and Administration of the University of Warsaw. He is also a member of the Center of Competition and Regulatory Studies. He conducts numerous training seminars for clerks of the Civil Service, he also trains judges at the National School of the Judiciary and the Prosecutor's Office in issues relating to legal aspects of the protection of competition. From 2004 - 2008 he served as a consultant and legal attorney of the National Notaries Council. He participated in works on the structural reorganization of some central offices. He is the author of over sixty academic publications. He is a co-author of the commentary on the protection of competition and consumers (C.H. Beck) and also a scientific editor of the publication "Contemporary problems of energy law" (LexisNexis).

Tomasz Siedlecki, is a legal counselor specializing in public procurement law. He is co-author of the Commentary to the Public Procurement Law. He has acted for the Ministry of Finance public on tender proceedings concerning the computerization of the Customs Service, and a number of regional contracting authorities in the organization and implementation of tendering procedures. He has also rendered services to the Polish Air Navigation Services Agency in tendering procedures concerning the acquisition of computer systems for the management of air traffic. He has acted for private entities in a number of tenders concerning computerization services (interalia ABG SA, ABG Spin Sa, Unizeto SA, MCSI Ltd. Sp.z o.o., Makronet Sp. z o.o.) and has rendered services regarding FIDIC contracts (Safege SA, TebodinSapProjekt SA, Systera SA, Skanska SA, Skobud Sp.z o.o.). He has long experience in the representation of public bodies and private sector entities before the National Appeal Chamber, the President of the Public Procurement Office and common courts in matters of appeals and complaints concerning public tenders. He has participated in the preparation of drafts of the new law on concessions for construction works & services and the amendment of public procurement law. For several years he has been an acknowledged expert at the Business Centre Club (a major business organization in Poland).

Mirosław A. Kamiński, holds a diploma of postgraduate studies from the European School of Law and Public Administration. He specializes in the restructuring and management of companies in crisis. He is an expert in bankruptcy law. Since 1999 he has been appointed to the position of syndicus and liquidator of several companies He took part in the drafting of a new Polish bankruptcy law and has also published a number of articles concerning bankruptcy.
